Terms of Service — Sunless Grove

These terms are an agreement between you and Owlnight Studio — Oleksandr Shaniuk, an individual entrepreneur (FOP) registered in Ukraine (the "Studio", "we") — about the mobile game Sunless Grove for iOS and Android, its in-game content and online services (together, the "Game"). By installing or playing the Game you accept these terms. If you do not agree, do not install or play the Game. How we handle your data is described in the separate Privacy Policy, which forms part of these terms.

1. Who may play

You must be at least 13 years old to play. If you are under the age of majority where you live, a parent or guardian must have read and agreed to these terms for you, and is responsible for your use of the Game, including any purchases. Where the law of your country sets a higher minimum age for consenting to the processing of personal data, that age applies to the optional data collection described in the Privacy Policy. We may suspend or delete a profile that we learn belongs to a child under 13.

2. Your licence

We grant you a personal, limited, non-exclusive, non-transferable licence to install and play the Game on devices you own or control, for your own non-commercial entertainment, in accordance with these terms and the rules of the app store you obtained it from. The licence lasts as long as these terms are in force between us (see section 9). Everything in the Game — code, art, music, sound, text, characters, names, and the "Sunless Grove" and "Owlnight Studio" names and logos — belongs to the Studio or its licensors and is protected by copyright, trademark and other laws. Nothing in these terms transfers any intellectual property to you. You may not copy, modify, distribute, sell, rent, sublicense, decompile or reverse-engineer the Game or create derivative works from it, except to the extent the law expressly allows despite this restriction. You may freely publish screenshots and videos of your play, including on monetised channels, as long as you do not present them as official material of the Studio.

3. Your profile and cloud save

The Game works without registration: on first launch it creates an anonymous profile on our backend and saves your progress to it. The profile is tied to the device it was created on; until account linking is offered in a later update, it can be moved to a new device only through your platform's app backup. We take reasonable care to keep cloud saves safe, but a profile whose anonymous credentials are lost (for example after reinstalling without a backup) cannot be recovered — please keep your device backed up.

You can delete your profile and everything in it at any time in Settings → Profile → Delete profile (see the Privacy Policy, section 6). Deleting your profile permanently removes unspent Virtual Items; purchases of a non-consumable kind (such as No Ads) remain tied to your app-store account and can be restored on a new profile with Restore purchases in the shop.

4. Virtual items and currency

Souls, sun shards, heroes, talents, cosmetic items, passes and every other in-game item ("Virtual Items") are a licensed feature of the Game, not property, and remain the Studio's. Virtual Items have no monetary value outside the Game, cannot be exchanged for money, transferred, sold or traded, and exist only within the Game for as long as the Game is provided.

Sunless Grove is a live game, and we may change, rebalance, add or remove Virtual Items, their prices in souls or shards, and game rules for valid reasons — game balance, new content, security, technical or legal requirements. We announce material changes in the Game or on our website before they take effect, and where a change would significantly reduce the value of something you paid for we offer a comparable Virtual Item or another remedy that the law of your country requires. Except as provided in section 5, as required by law or by the refund rules of your app store, purchases of Virtual Items are final.

5. Purchases and the season pass

Some Virtual Items can be bought for real money. All purchases are made through Apple's App Store or Google Play under the store's terms; the store is the seller of record, shows the price including applicable taxes in your currency before you confirm, charges you, and handles refunds under its own rules (Apple: reportaproblem.apple.com; Google: play.google.com/store/account). We do not receive your payment details and cannot issue refunds ourselves, but we will help if a purchase was not delivered: write to support@owlnightstudio.com with your Player ID (Settings → Profile) and the store receipt.

Purchased Virtual Items are delivered immediately after the store confirms the payment. If you are a consumer in the EU, the UK or another country with a right of withdrawal for distance contracts, you acknowledge that by requesting immediate delivery of digital content you lose the right of withdrawal once the delivery has begun, to the extent the law so provides; the store asks for this acknowledgement during checkout.

  • Sun shard packs and the Night Walker's Pack are consumed when granted.
  • No Ads and heroes are one-time purchases tied to your store account and can be restored on a new device or profile with Restore purchases.
  • The season pass unlocks the paid reward track of the current season only; each season is a separate purchase, and the time remaining in the season is shown on the season screen before you buy. Season rewards not claimed before a season ends are granted automatically when the season rolls over.
  • Optional offers (for example a limited-time pack after a run) are exactly that — optional. Their availability, timing and content may vary between players and over time, including as part of tests; the price and contents of any offer are shown before you buy.

There are no subscriptions in the Game today. If we add any, the store will show the renewal terms and price before you subscribe.

6. Advertising

The Game is free and supported by ads from third-party networks (currently Google AdMob). Rewarded videos are shown only when you choose to watch them for a stated benefit; interstitial ads appear between runs within frequency limits. Buying No Ads removes interstitials and gives you the ad-free revive; rewarded videos remain available and remain your choice. Ads are provided by their networks, which are responsible for their content and for the personalisation choices you make (see the Privacy Policy, section 2.6). We are not a party to any transaction between you and an advertiser.

7. Leaderboards, nicknames and fair play

The daily challenge has a leaderboard. Your nickname is shown to other players; you may change it in the Game. Nicknames must not be offensive, hateful, sexual, misleading, impersonate another person or brand, contain contact details or personal data, or advertise anything. Names pass through a word filter, and we may rename or reset a nickname that breaks these rules without notice.

Scores are validated on our servers. You agree not to cheat or interfere with the Game: no modified clients, memory editing, automation, bots, exploiting bugs for leaderboard or economic gain, tampering with network traffic, or interfering with other players or our services. We may remove scores, disqualify attempts, revoke rewards obtained in breach of these terms, and suspend or terminate a profile involved in cheating or abuse (section 9). 8. Availability and changes

Sunless Grove is a live game: content, balance, features and events change over time, and some features need an internet connection (cloud save, daily challenge, leaderboards, shop, ads). We may update the Game, require an update to keep using online features, and temporarily suspend services for maintenance, security or technical reasons, doing so at times and in ways that limit the disruption where we can. We may also discontinue the Game or parts of it; where the law requires, we will give reasonable advance notice in the Game or on our website, and outstanding paid content will be handled in line with the store's rules and the consumer law that applies to you.

9. Ending the agreement

You may stop playing at any time and delete the Game and your profile; that ends these terms for you. We may suspend or terminate your access to the Game or its online features if you materially breach these terms (including cheating, abuse or unlawful conduct), if we are required to by law or by an app store, or if we discontinue the Game under section 8. Unless the breach is serious or the law requires otherwise, we will warn you first and give you an opportunity to respond. Termination for breach does not entitle you to a refund of Virtual Items. Sections 2 (intellectual property), 4, 10, 11 and 12 survive termination.

10. Warranties and liability

We provide the Game with reasonable skill and care. To the extent permitted by the law that applies to you, we give no other warranties, and the Game is provided as it is and as available: we do not promise that it will be uninterrupted, error-free or compatible with every device.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, or for any other liability that cannot be excluded or limited by law. Subject to that, we are not liable for indirect, consequential or incidental losses, loss of profit, or loss of data or Virtual Items, and our total liability arising out of the Game in any twelve-month period is limited to the greater of the amounts you paid for the Game through the app stores in that period and 50 euros. The statutory rights you have as a consumer in your country of residence (for example under EU, UK or Ukrainian consumer law, including rights regarding digital content that does not conform to the contract) are not affected by these terms and prevail over anything in them that would reduce those rights.

11. Governing law and disputes

These terms are governed by the laws of Ukraine. If you are a consumer in the European Union, the United Kingdom or another country whose law gives you mandatory protections, you also keep those protections and may bring proceedings in the courts of your home country; otherwise disputes are resolved by the competent courts of Ukraine. We are not obliged to take part in alternative dispute resolution, but we will always try to solve a problem directly first — write to support@owlnightstudio.com.

12. Third-party platforms

If you obtained the Game from Apple's App Store, the following also applies: these terms are between you and the Studio, not Apple; Apple has no obligation to provide maintenance or support for the Game; in the event the Game fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the Game, and to the maximum extent permitted by law Apple has no other warranty obligation; the Studio, not Apple, is responsible for addressing claims relating to the Game (product liability, legal or regulatory compliance, consumer protection) and for investigating and resolving any third-party claim that the Game infringes intellectual-property rights; you represent that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country and are not on any U.S. Government list of prohibited or restricted parties; you must comply with applicable third-party terms when using the Game; and Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

If you obtained the Game from Google Play, Google's Terms of Service and the Google Play Terms of Service apply in addition to these terms, and Google is not responsible for the Game or for these terms.

13. Test versions and feedback

Versions of the Game distributed through TestFlight, Google Play testing tracks or other test channels may be incomplete, unstable and reset at any time, and progress made in them may not carry over. If you send us suggestions or feedback, you agree that we may use them freely, without any obligation or compensation, and that they do not create any right of yours in the Game.

14. General

These terms and the Privacy Policy are the entire agreement between you and the Studio about the Game. If any part of these terms is found invalid, the rest remains in force. Our not enforcing a provision is not a waiver of it. You may not transfer your rights under these terms; we may transfer ours to a successor of the Studio's business, without reducing your rights. These terms are written in English; translations are provided for convenience, and the English version prevails in the event of a conflict.

15. Changes to these terms

We may update these terms when the Game or the law changes. The version and date at the top show when. We announce material changes in the Game or on our website before they take effect; continuing to play after that date means you accept the new terms, and if you do not, stop playing and delete your profile.
